1. Who we are
These Terms govern your use of Deliverly (the "Service"), provided by The Branding Architect ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms and enter into a contract with The Branding Architect.
2. Eligibility & authority
You must be of legal age in your jurisdiction. If you use the Service on behalf of an organization, you represent you have authority to bind it.
3. The Service
Deliverly lets sellers create branded delivery PDFs, previews, QR codes, and related assets for digital products. Features available depend on your selected plan.
4. Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it current.
5. Acceptable use
You must not misuse the Service, including by:
- Using it for unlawful, fraudulent, or deceptive purposes, or to send spam;
- Infringing intellectual property, privacy, or other rights of third parties;
- Uploading malware, probing, scanning, scraping, or attempting to interfere with the security or integrity of the Service;
- Reverse engineering, reselling, or redistributing the Service, or circumventing technical limits or usage quotas.
6. Your content
You retain ownership of the content you upload. You grant us a limited license to host, process, and display that content solely to provide the Service to you.
7. Intellectual property
The Service, its software, branding, and documentation are owned by The Branding Architect or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.
8. Payments, subscriptions & taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically until cancelled.
9. Service availability
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free performance. Features may change or be discontinued.
10. Suspension & termination
We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time.
11. Consequences of termination
Upon termination, your right to use the Service ends. We may delete your data after a reasonable export window in accordance with our data retention practices.
12. Warranties & disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is capped at the fees you paid to us (via Paddle) in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud, death, or personal injury caused by negligence).
14. Indemnity
You will indemnify and hold us harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which The Branding Architect is established, without regard to its conflict-of-laws principles.
